│半路殺出程咬金！黑石集團搶在 Apple 之前買下 Reese Witherspoon 的製片公司 Hello Sunshine │
• 今天的大消息是幾天才才傳出有意出售的女星 Reese Witherspoon 的製片公司 Hello Sunshine ，已經確定由 Blackstone Group 黑石集團透過一家新成立的公司買下絕大多數股份。該公司原本的股東（包含 AT&T）的股份將被黑石以大約5億現金買下，只剩下 Witherspoon 本人留下大約 18%左右的股份。媒體估計這次交易至少使 Witherspoon 入帳1.2億美元。Forbes 在今天的報導中預估 Witherspoon 身價因此提高到4億美元，並稱她是「世界上最富有的女演員」。
• 這家成立才5年的製片公司因為專注在串流節目的開發，因而在串流大戰的時代衝出8億多美元的驚人估值。Hello Sunshine 絕對是串流大戰中的經典成功案例。而這一切的起點其實非常簡單：Reese Witherspoon 無法忍受好萊塢始終給她無關緊要的花瓶角色，認為必須跳下來主導一個專門為女性觀眾和女性演員服務的製片公司。許多好萊塢明星都試過類似的策略（比如 Sandra Bullock 的 Fortis Films 或是 Brad Pitt 的 Plan B），但從來沒有人像 Witherspoon 的生意這麼成功。一開始 Hello Sunshine 主要都是處理 Reese Witherspoon 主演的電影（如：《Wild 那時候，我只剩下勇敢》或是原本要主演的電影（如：《Gone Girl 控制》）。然而 Hello Sunshine 的業務很快就擴張至電視和串流節目之上，並陸續製作 HBO 的熱門節目《美麗心計》 、Apple TV+ 的開台招牌節目 《The Moring Show 晨間直播秀》和Hulu 平台上廣受歡迎的節目《星星之火》。目前也還有 Netflix 和 Amazon 的節目正在製作中。
• 值得注意的是原本就與 Hello Sunshine 有密切合作關係的 Apple 其實是最有興趣併購該公司的人。上週的媒體報導中就有消息來源指出 Apple 確實正在跟 Hello Sunshine 就併購一事展開討論。坐擁千億美元現今的 Apple 一直被猜測遲早會出手併購好萊塢企業來改善目前落後的 Apple TV+ 串流業務。然後每一次的猜測總會落空，節制的 Tim Cook 始終沒有出手。他的理由可能是眼前雖然好萊塢併購熱潮正興起，但政策環境對 Apple 這樣的科技公司來說並不算太友善。Biden 政府先後推出新的反壟斷法令和討厭 Amazon 的FTC 聯邦貿易委員會主席 Lina Khan 和討厭 Google 的司法部助理部長 Jonathan Kanter。Tim Cook 可能至少要等美國政府對「Amazon 併購 MGM」和「WarnerMedia 與 Discovery 合併」這兩起併購案明確表態之後，才會放心進行比較大型的好萊塢企業併購。
• 如果 Reese Witherspoon 是今天的併購大新聞女主角，男主角將是這兩位來自 Disney 的重量級畢業生：Disney 前營運長 Thomas Staggs 以及原本在 Disney 主管 DTC和國際業務的 Kevin Mayer。他們正是整起交易幕後的推手，也將被黑石集團派到新公司擔任共同執行長。
• Kevin Mayer 原本會是地球上最成功的娛樂媒體集團專業經理人 Bob Iger 呼聲最高的接班人選。從 Miramax、Lucasfilm、Pixar、Marvel 到 Fox 的併購都有 Mayer 的身影，更別提如今整個 Disney 未來命脈所在的 Disney+ 正是他一手主導開發。然而去年初 Bob Iger 在一片錯愕聲中將 Disney 執行長的位置交給了主管主題樂園業務的 Bob Chapek，逼使 Kevin Mayer 黯然離開 Disney（後來曾短暫擔任 TikTok 執行長3個月）。
• 早先的新聞傳出 Kevin Mayer 和他的前同事 Thomas Staggs 組了一個 SPAC 特殊目的收購公司，正在到處尋找適合收購的媒體公司。今天的併購新聞進一步透露了這兩位畢業生野心勃勃的更大計畫（對 Kevin Mayer 來說則是他對 沒繼承到的 Disney 帝國的王子復仇記計畫）：首先是他們似乎跳過 SPAC 特殊目的收購公司，因為黑石集團直接給了20億美元讓他們帶去市場上買菜。而且 Hello Sunshine 只是他們加入購物車的第一筆訂單，根據 Variety 報導他們也在評估購買 NBA 球星 LeBron James 的製片公司 SpringHill 和導演 Ron Howard 的 Imagine Entertainment。後兩者也都曾傳出可能是 Apple 併購的潛在對象。
• 彭博新聞提醒這則併購消息應該與昨天另外一個黑石集團的房地產投資消息一起看：黑石集團與房地產投資商 Hudson Pacific 合作買下倫敦北邊大約 36.8萬平方公尺的土地，將用來興建新的 Sunset Studios 攝影棚的倫敦新棚。串流大戰造成全球劇組大爆發，在歐洲影視拍攝重鎮倫敦投資攝影棚當然是穩賺不賠的生意。在此同時如果把攝影棚、製片公司或許再加上發行或是串流業務串接在一起，黑石似乎隱隱約約拼湊出一個更大的圖像：他們是在透過 Kevin Mayer 和 Thomas Staggs 這隊 Disney 退伍老兵打造一個串流時代的新超級片廠嗎？

Hello friends! Today we're going to share with you how to make a classic and super delicious French pumpkin soup(soupe à la citrouille), and the recipe is from Michelin star chef Thomas Keller.
No matter how you call it pumpkin soup or squash soup, pumpkin soup is always classic. It’s my family favorite, and it’s something that never gets old. Also it's healthy, creamy, and keeps you cozy. You can use various squashes to make this soup, like butternut squash or kabocha squash. This soup is indeed delicious, perfect for a cold day, and it’s also a beautiful dish to serve on a holiday.
We strongly recommend you try this recipe if you love pumpkin soup, once cooked, served with crispy bacon, croutons or our favo “crème fraîche and nutmeg”. Hope you like this video. :)

How to make pumpkin soup / squash soup
pumpkin soup Recipe
☞ Serves: 2-3
✎ Ingredients
kabocha squash 3, diced 180g, rostered 120g
olive oil 20ml
2 springs sage
celery 15g
carrots 30g
shallots 20g
onions 30g
garlic cloves, smashed
honey 15ml
vegetable stock 600ml, more if needed
bouquet garni 1 spring, about Italian parsley, thyme and bay leave
salt Q.S
ground black pepper Q.S
📍 French vegetable Broth：you can check our Mushroom soup video ( https://youtu.be/f-AMOarrAGY ) , don't need to add mushroom stems, all you need are a medium size carrot, half onion, a stick of celery and 5-6 black pepper corn, you also need a bundle of Bouquet Garni, includes bay leaf, thyme and parsley.
✎ Instructions
1. Slice the carrot, shallot, celery and onion, peel and smash the garlic.
2. Slice the squash in half lengthwise. Then scoop out and discard the seeds of squash. Keep two half squash for use later. Carefully peel away the skin from the squash until you reach the orange flesh. Dice the flesh into small cubes.
3. Preheat the oven to 170°C, line a foil on the baking tray. Brush each half inside and out with olive oil, and sprinkle the cavities with salt and pepper, then put a sprig of sage into each. Place cut side down on the baking sheet, bake for 44-45 minutes or until tender. The baking time depends on the size of squash.
4. Remove the roasted squash from the oven and let cool, then scoop out the flesh and set aside.
5. Pour the remaining olive oil in a stockpot over medium high heat, add celery, carrots, onions and shallots, fry for 3-5 minutes or until tender.
6. Add diced squash and smashed garlic, season with salt and black pepper, reduce the heat to medium low to keep the squash and garlic from coloring, stir for 2 minutes.
7. Add honey and keep stirring for 2 minutes, then pour the broth and bouquet garni, bring to a simmer and cook for 10 minutes or until the squash is tender.
8. Add the roasted squash and simmer gently for about 30 minutes.
9. Once cooked, remove from the heat and discard the herbs. Blend and puree the soup. Strain the soup into a bowl. Taste the soup and season if needed. You can serve it while the soup is not too hot, or chill overnight and enjoy in next day.
📍 How To Enjoy：You can mix and whisk the crème fraîche and nutmeg, and spoon some in top of soup. Or put some croutons or bacon bits are good ways to enjoy it.

How to Make EASY Thomas the Tank Engine Swiss Roll Birthday Cake (Recipe)
Difficulty: Easy
Time: 3 hours
Number of servings: number of Swiss roll cuts
What You Need:
parchment paper
your favorite Thomas picture
black chocolate pen
colored chocolate pens
swiss roll
blue colored whipped cream
sugar sprinkles
Directions:
1. Print out your favorite character and place a parchment paper on top, secure corners with tapes. Draw the outer frame with black chocolate pen. Put it in the fridge to set. Do not refrigerate it too long, otherwise it rolls up.
2. Melt the colored chocolate pens, paint the same type of color, starting from light shade to dark if you can. Put in the fridge to set after painting each color.
3. Melt the white chocolate and cover the entire image to reinforce the picture. Put in the fridge to set. Remove it carefully from the parchment paper.
4. Place a Swiss Roll on a dish, then cover with whipped cream, decorate it with sugar sprinkles. Then attach Thomas chocolate at front and back.
