#'94年にSNKが稼働させた、対戦格闘作であり、シリーズの第2作目。
操作等は基本前作と同じだが、パンチ・キックボタンの押下時間により通常技の弱・強を選択して出せるシステム、投げられた時にタイミング良くボタンを押す事でダメージを軽減できる受け身システムが導入されている他、相手を必ずダウンさせることが可能なアッパー、リーチが長く相手を転倒させられるローキックが全キャラに標準装備。
必殺技KO（脱衣KO *前作ではキングのみに搭載)も男女全キャラに搭載された。
キャラクターは前作から藤堂竜白を除き続投、新キャラはテムジン、如月影二、ユリ・サカザキ、隠しボスとして若き日のギース・ハワードがいる。
システム面は、CPU戦での相手キャラの反応がとても鋭敏で、パターンを組まないと攻略は難しい。
また、前作で強力だった必殺技は大幅に弱体化、新システムの受け身によるダメージ軽減、硬直中のガード不能技入力によるハメ技など、バランス崩壊といえる部分がある事も否めない。
BGMはSNK新世界楽曲雑技団の面々が共同作曲、前作同様そのクオリティも受け継がれている。
